As a Partner at Khalifeh & Partners, Khaldoun leads the firm’s Corporate, M&A, Privatization, and Energy practices, bringing extensive experience across projects, corporate, commercial, and investment law. He is particularly well regarded in the energy sector, having advised on and steered all aspects of several of Jordan’s most significant renewable energy projects over the past five years. Under his leadership, the firm has guided the successful and timely development of numerous energy initiatives, including the 50 MW solar photovoltaic plant in Ma’an, the 61 MW solar project in Risha, and a 50 MW solar project in Mafraq.
Beyond his energy practice, Khaldoun has substantial expertise in corporate structuring and restructuring, as well as in advising on a wide range of transactional and contractual matters. His experience includes drafting and negotiating complex project documentation, joint venture agreements, memoranda and articles of incorporation, shareholders’ agreements, share and asset acquisition agreements, franchise agreements, sponsorship agreements, and consultancy contracts. He has also acted on numerous financing transactions, including Sharia-compliant structures, and has significant experience in real estate development and construction agreements. Khaldoun has successfully advised on multiple acquisitions and share sales in Jordan, including transactions involving private equity investment.
